These Terms of Use (the “Terms”) govern your access to and use of the websites, applications, APIs, dashboards, models, tools, documentation, and related services made available by Chariot Artificial Intelligence Pvt Ltd (“Chariot”, “we”, “us”, or “our”), including our website at chariot.in and our platform at platform.chariot.in (collectively, the “Services”).
These Terms should be read together with our Privacy Policy, which explains how we collect, use, store, share, and protect information in connection with the Services. Your use of the Services must also comply with our Acceptable Use Policy, which sets out restrictions on misuse, abuse, illegal activity, unauthorized voice use, model distillation, and other prohibited conduct.
By accessing or using the Services, creating an account, generating an API key, purchasing credits or a subscription, clicking to accept these Terms, or otherwise using Chariot, you agree to these Terms. If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity, and “you” means that entity.
If you do not agree to these Terms, do not use the Services.
1. Electronic Record
These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, as amended from time to time. These Terms are generated by a computer system and do not require any physical, electronic, or digital signature. Your access to or use of the Services constitutes acceptance of these Terms.
2. About Chariot
Chariot provides speech and voice artificial intelligence services, including text-to-speech models, stock voices, APIs, dashboards, developer tools, and related features. We may also make available, now or in the future, automatic speech recognition, transcription, custom voice creation, voice cloning, voice adaptation, voice agents, call-related features, and other speech, reasoning, or AI systems.
The Services are currently in beta and are evolving quickly. Features, models, APIs, pricing, availability, documentation, limits, and outputs may change at any time.
3. Eligibility and Accounts
You must be at least 18 years old to use the Services.
The Services may be used by individuals, developers, companies, enterprises, and other organizations, subject to these Terms. Free-tier, trial, demo, or unpaid access may be used only for personal, non-commercial evaluation and testing unless Chariot expressly permits otherwise in writing. Paid users may use the Services for lawful commercial purposes, subject to these Terms and any applicable additional terms.
You are responsible for maintaining the confidentiality and security of your account, login credentials, API keys, access tokens, and any activity under your account. You must promptly notify us if you suspect unauthorized access or use.
If you create an account using an email address owned or controlled by an organization, Chariot may treat that organization as the owner, controller, or administrator of the account if we reasonably determine that the account was created or used for that organization’s business. We may transfer, restrict, disclose, or administer the account at the direction of that organization, subject to applicable law and our policies.
We may refuse, suspend, limit, or terminate access to any account, API key, model, feature, voice, or output at any time if we believe there is a violation of these Terms, misuse of the Services, legal or regulatory risk, security risk, non-payment, or harm to Chariot, our users, third parties, or the public.
4. Supplemental Terms
Certain Services, plans, features, integrations, models, voices, beta products, enterprise pilots, order forms, or other offerings may be subject to additional terms, policies, addenda, notices, or agreements (“Supplemental Terms”). If Supplemental Terms apply, they become part of your agreement with Chariot for the relevant Services. If there is a conflict between these Terms and any Supplemental Terms, the Supplemental Terms will control for the relevant Services.
5. The Services
Subject to these Terms, Chariot grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services in accordance with our documentation, applicable usage limits, payment terms, and policies.
You may not use the Services in a way that exceeds rate limits, bypasses technical restrictions, interferes with the Services, attempts to reverse engineer our models or systems, compromises security, scrapes or extracts data at scale, or violates applicable law.
We may modify, suspend, discontinue, replace, upgrade, update, or limit any part of the Services at any time. We do not guarantee that any particular model, voice, API endpoint, output format, feature, price, or functionality will remain available.
6. Customer Content
“Customer Content” means any data, text, prompts, scripts, audio, recordings, voice samples, files, phone numbers, call data, metadata, transcripts, instructions, generated outputs, or other content submitted to, processed through, generated by, or stored in the Services by you or on your behalf. For clarity, Customer Content includes both inputs submitted to the Services and outputs generated by the Services.
As between you and Chariot, you retain ownership of your Customer Content, subject to the rights granted to Chariot in these Terms.
You grant Chariot and our service providers a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, transform, generate, create derivative works from, and otherwise use Customer Content, including inputs and outputs, as necessary or useful to provide, maintain, secure, troubleshoot, support, analyze, and improve the Services; enforce these Terms; prevent abuse; comply with law; and develop, train, evaluate, and improve Chariot’s models, systems, and products, except where you have opted out as described below.
You represent and warrant that you have all rights, licenses, permissions, consents, notices, and legal bases required to submit Customer Content to the Services and to allow Chariot to process it as described in these Terms and our Privacy Policy.
You are solely responsible for your Customer Content and for your use of any outputs generated through the Services.
7. Model Training and Improvement
Unless you opt out, Chariot may use Customer Content, including inputs, outputs, prompts, scripts, audio, generated audio, transcripts, voice data, usage data, and related metadata, to improve, evaluate, train, fine-tune, test, secure, and develop our models, products, systems, and Services.
You may request to opt out of model training and improvement uses by contacting [email protected] or by using any opt-out setting we may make available in the platform. Opt-out requests may apply prospectively and may be subject to reasonable processing time, technical limitations, and any separate written agreement between you and Chariot.
Even if you opt out of model training, Chariot may still process Customer Content and usage data as necessary to provide the Services, generate outputs, debug issues, ensure safety and security, prevent abuse or fraud, comply with law, enforce these Terms, and maintain business records.
Opting out does not affect uses of Customer Content before the opt-out is processed, or materials, learnings, aggregated data, de-identified data, model improvements, safety improvements, or system improvements already created before the opt-out is processed.
Free-tier, demo, trial, playground, or unpaid usage may be used by Chariot for product improvement, analytics, safety, evaluation, training, and model development, unless prohibited by applicable law or separately agreed in writing.
8. Data Storage, Retention, and Deletion
Chariot may store Customer Content, including input text, prompts, audio, generated audio, voice samples, uploaded recordings, ASR audio, transcripts, call recordings, call transcripts, logs, metadata, and API usage records.
We retain Customer Content and related records for as long as reasonably necessary to provide, operate, secure, improve, and support the Services; comply with law; resolve disputes; prevent fraud or abuse; enforce agreements; collect payments; maintain backups; and satisfy legitimate business needs.
You may request deletion of certain account data or Customer Content by contacting [email protected]. Deletion may be subject to technical limitations, backup retention, billing records, fraud-prevention needs, legal obligations, security requirements, and legitimate business record retention. We may not be able to delete all data immediately or completely from backups, logs, or archives.
9. Sensitive, Regulated, or Confidential Data
You are responsible for determining whether your Customer Content or use of the Services involves sensitive, regulated, confidential, or legally protected information, including health information, financial information, government identifiers, children’s data, biometric data, voice data, or other regulated data.
You must ensure that you have all required rights, permissions, consents, notices, lawful bases, and safeguards required for Chariot to process such data in connection with the Services.
Chariot may require additional terms, consents, safeguards, verification, approvals, or a separate written agreement for certain regulated, sensitive, high-risk, enterprise, healthcare, financial, children’s, biometric, or similar use cases.
You may not submit or process such data through the Services in violation of applicable law, these Terms, or any applicable Supplemental Terms.
10. Voice, Audio, and Consent
Chariot currently provides stock voices and may in the future provide custom voice creation, voice cloning, voice adaptation, or similar features.
You may not upload, clone, synthesize, imitate, generate, deploy, or otherwise use any voice unless you have all necessary rights, permissions, consents, and legal bases to do so. If you use custom voice or voice cloning features, you must confirm that you have obtained explicit permission from the relevant speaker or rights holder.
Chariot may support custom voice creation using short or long voice recordings and may require you to confirm consent through a checkbox, platform flow, order form, or other process. Chariot does not generally verify whether you have obtained speaker consent, unless we expressly state otherwise. You are solely responsible for obtaining, maintaining, and proving all required consents, permissions, and rights.
To the extent you own or acquire rights in any custom voice, voice model, voice profile, or similar asset created using the Services, you grant Chariot and our service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, adapt, create derivative works from, and use that custom voice, voice model, voice profile, or similar asset as necessary or useful to provide, operate, secure, support, troubleshoot, improve, and enforce the Services, subject to these Terms and your applicable data-use settings.
Chariot will not sell or commercialize your custom voice as a standalone stock voice available to other customers without your permission.
You may not use the Services to imitate, clone, or generate the voice of any person, including celebrities, public figures, politicians, employees, executives, customers, private individuals, or government officials, without authorization, a valid legal basis, or Chariot’s express approval. You may not use the Services to mislead others about the identity of a speaker or source of a communication.
You may not use generated speech or voice technology to unlawfully bypass, deceive, or defeat biometric authentication, voice verification, security systems, KYC processes, banking verification, workplace verification, or other identity or access-control systems.
Chariot may suspend, disable, delete, or restrict any voice, model, account, API key, content, or output if we receive a complaint, believe rights or consents are missing, believe the voice or output may be abusive or unlawful, or believe continued availability may create legal, safety, reputational, regulatory, or security risk.
11. AI Disclosure and Generated Speech
You are responsible for deciding and implementing any disclosures required for your use of generated speech, synthetic voices, transcripts, or AI agents.
You must disclose that audio, speech, or communications are AI-generated or AI-assisted where required by applicable law, regulation, platform policy, contractual obligation, or third-party rule.
Chariot does not require disclosure in every circumstance. However, you may not use the Services to deceive, defraud, impersonate, or mislead any person in violation of law, platform rules, contractual obligations, or these Terms.
12. Agents, Calls, and Communications
Chariot may in the future make available voice agents, call-related features, telephony integrations, inbound calling, outbound calling, call recording, call transcription, call analytics, and related tools.
If you use the Services for calls, messaging, outreach, sales, support, lead generation, reminders, collections, surveys, or other communications, you are solely responsible for the content, purpose, recipients, timing, scripts, disclosures, consent, opt-outs, recording notices, telemarketing compliance, DND compliance, caller identity, and legality of those communications.
For call, agent, messaging, and communication features, Chariot acts as a technology provider and infrastructure platform. You determine the content, recipients, purpose, timing, and legal basis of the communication.
You must comply with all applicable telecom, consumer protection, privacy, data protection, advertising, telemarketing, anti-spam, call recording, and sector-specific laws and rules.
You must honor opt-outs and stop requests. You may not use the Services for spam, unsolicited illegal communications, robocalls prohibited by law, deceptive calls, fraudulent calls, phishing, social engineering, harassment, or unlawful telemarketing.
13. High-Risk Uses and Human Review
The Services may produce inaccurate, incomplete, delayed, unsafe, offensive, or unexpected outputs. You must independently review and validate outputs before relying on them.
You may not use the Services as the sole basis for decisions or actions in high-risk areas without appropriate human review and safeguards. High-risk areas include medical, legal, financial, lending, employment, housing, education, insurance, emergency, safety-critical, law enforcement, biometric identification, and other areas where errors could materially affect a person’s rights, safety, finances, access to services, or legal position.
The Services are not designed for emergency services, life-critical systems, or situations where failure or delay could lead to death, personal injury, severe financial loss, or substantial harm.
14. Prohibited Uses
You may not use the Services to:
- violate any applicable law, regulation, rule, contract, or third-party right;
- impersonate any person or entity without authorization;
- clone, synthesize, or imitate any voice without required rights and consents;
- create or distribute fraudulent, deceptive, misleading, defamatory, or unlawful content;

- send illegal spam, robocalls, telemarketing, or unsolicited commercial communications;
- harass, threaten, stalk, abuse, intimidate, or exploit any person;
- generate, upload, transmit, or distribute hate, violent, sexually exploitative, child sexual abuse, obscene, defamatory, invasive of privacy, or otherwise unlawful content;
- engage in political deception, voter suppression, misleading election-related communications, or unlawful political campaigning;
- infringe intellectual property, publicity, privacy, personality, or voice rights;
- interfere with, overload, probe, scan, attack, or disrupt the Services or any related system;

- use the Services, outputs, API responses, audio, generated speech, transcripts, metadata, or other data from the Services to train, fine-tune, distill, evaluate, benchmark, improve, or develop any model, system, product, or service that competes with Chariot or is substantially similar to the Services, without Chariot’s prior written permission;
- systematically harvest, scrape, generate, or collect outputs or API responses for the purpose of model extraction, model imitation, model inversion, model distillation, synthetic training data generation, or creating a substitute or competing service;
- use the Services to infer, approximate, reconstruct, extract, or discover model weights, model architecture, training data, system prompts, hidden prompts, safety policies, non-public documentation, or other proprietary components;
- resell, sublicense, or provide access to the Services except as expressly permitted by Chariot;
- use the Services in any manner that damages, disables, overburdens, impairs, or interferes with another party’s use of the Services;

We may investigate suspected violations and may suspend, terminate, throttle, block, delete, or report accounts, content, voices, outputs, API keys, or activity at our discretion.
15. Rights Complaints and Takedowns
If you believe that any content, voice, output, model, account, or use of the Services infringes or violates your copyright, trademark, privacy, publicity, personality, voice, data protection, or other rights, you may contact us at [email protected] with details of the alleged violation, including your identity, the relevant content or voice, the basis of your claim, and supporting evidence.
We may remove, disable, suspend, restrict, preserve, or investigate content, voices, accounts, API keys, outputs, or related data at our discretion while reviewing a complaint or where we believe action is necessary to protect Chariot, users, third parties, or the public.
We may terminate or restrict accounts that repeatedly infringe or violate third-party rights or that repeatedly generate credible complaints, even if individual complaints are disputed.
Nothing in this section limits our rights to cooperate with law enforcement, regulators, courts, rights holders, payment processors, telecom providers, cloud providers, or other third parties where permitted or required by law.
16. Payments, Credits, Subscriptions, and Taxes
Chariot may offer free tiers, paid self-serve plans, subscriptions, prepaid wallet credits, usage-based billing, annual plans, monthly plans, invoices, order forms, promotional credits, or other commercial arrangements.
Unless otherwise stated, purchases made through the platform are billed through Razorpay or another payment processor we may use from time to time. You authorize Chariot and our payment processors to charge applicable fees, renewals, overages, taxes, and other amounts due. You represent that you are authorized to use any payment method you provide.
Self-serve subscriptions automatically renew unless cancelled before renewal. Order forms and sales-led subscriptions also automatically renew unless the applicable order form states otherwise. Cancelling a subscription stops future renewals but does not entitle you to a refund for the current billing period.
All fees are non-refundable except where required by law or expressly agreed by Chariot in writing. Chariot may offer refunds or credits at its sole discretion, but doing so in one instance does not require us to do so in any other instance.
Wallet credits, prepaid credits, promotional credits, or similar credits are a limited, revocable, prepaid right to access eligible Services. Credits are not money, legal tender, stored value, a deposit, a bank account, a payment instrument, or a wallet balance held for your benefit, and do not create any fiduciary, custodial, banking, or payment-services relationship.
Wallet credits are valid for one year from purchase unless otherwise stated. Subscription credits are valid only during the applicable billing period and do not roll over unless expressly stated. Promotional, trial, or free credits may expire earlier and may be revoked or modified at any time.
Credits are non-refundable, non-transferable, have no cash value, and may not be redeemed for cash. You may not sell, gift, trade, assign, transfer, or exchange credits. Any attempted transfer is void.
If your account is suspended or terminated for violation of these Terms, fraud, abuse, non-payment, legal risk, or security risk, unused credits may be forfeited without refund, except where required by law.
You are responsible for all applicable taxes, duties, levies, charges, and government assessments, including GST, withholding tax, or similar amounts, except taxes based on Chariot’s net income.
If payment fails, is reversed, is disputed, or is overdue, we may suspend or terminate access to the Services, reduce limits, disable API keys, or require prepayment. You will be responsible for reasonable costs of collection, including legal fees, if we need to recover overdue amounts.
If you purchase through a reseller, marketplace, partner, or third party, your payment and commercial terms may be with that reseller, marketplace, partner, or third party, but these Terms continue to govern your access to and use of the Services unless Chariot agrees otherwise in writing.
17. Intellectual Property
Chariot and its licensors own all rights, title, and interest in and to the Services, including our software, models, APIs, systems, documentation, website, dashboards, designs, trademarks, logos, voices, stock voices, technology, know-how, and other intellectual property.
Except for the limited right to use the Services under these Terms, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, reverse engineer, extract, distill, imitate, train a competing model from, or create derivative works based on the Services, except as expressly permitted by law or by Chariot in writing.
Subject to your compliance with these Terms, you may use outputs generated through the Services for your lawful personal or business purposes. You are responsible for ensuring that your use of outputs complies with applicable law and does not violate third-party rights.
You may not use outputs, generated audio, transcripts, API responses, metadata, or other data from the Services to train, fine-tune, distill, evaluate, benchmark, improve, or develop a competing model, system, product, or service without Chariot’s prior written permission.
Due to the nature of machine learning and AI systems, outputs may not be unique. Other users may receive the same or similar outputs, and Chariot does not guarantee exclusivity in any output.
18. Feedback
If you provide feedback, suggestions, ideas, bug reports, feature requests, or other comments, you grant Chariot a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
19. Privacy
Our processing of personal data is described in our Privacy Policy. By using the Services, you acknowledge that Chariot may collect, use, store, share, and otherwise process data as described in these Terms and our Privacy Policy.
Where you submit personal data of others to the Services, you are responsible for providing required notices, obtaining required consents, and having a valid legal basis for such processing.
20. Third-Party Services and Open-Source Software
The Services may integrate with, rely on, or interoperate with third-party services, including cloud infrastructure, payment processors, telephony providers, analytics tools, email providers, support tools, communications services, internet providers, and other vendors. Chariot is not responsible for third-party services, outages, acts, omissions, terms, policies, or data practices.
Your use of third-party services may be subject to their separate terms and policies.
The Services may include or be distributed with open-source software or third-party software. Such software may be subject to separate license terms. To the extent required by applicable open-source licenses, those license terms will govern the applicable software instead of these Terms.
21. Export Controls and Sanctions
You may not use, export, re-export, transfer, or provide access to the Services in violation of applicable export control, sanctions, trade, or anti-boycott laws. You represent that you are not barred from using the Services under applicable sanctions, export control, or trade laws, and that you will not use the Services for prohibited end uses or on behalf of prohibited persons.
22. Beta Services; No SLA
The Services are provided in beta and may contain errors, bugs, interruptions, inaccuracies, downtime, data loss, degraded performance, or unexpected behavior.
Chariot does not provide any uptime, support, response-time, availability, latency, performance, retention, or service-level commitment unless expressly agreed in a separate written agreement signed by Chariot.
We may impose or change usage limits, rate limits, quotas, concurrency limits, model limits, credit limits, or other restrictions at any time.
23. Suspension and Termination
You may stop using the Services at any time. You may cancel subscriptions through the platform where available or by contacting us, but cancellation does not entitle you to a refund unless required by law or expressly agreed by Chariot.
We may suspend, restrict, or terminate your access to the Services, account, API keys, credits, voices, outputs, or content at any time, with or without notice, if we believe that:
- you violated these Terms;
- your use creates legal, regulatory, reputational, security, or operational risk;
- your payment is overdue, disputed, reversed, or fraudulent;
- your account or API keys are compromised;
- your use may harm Chariot, users, third parties, or the public;
- we are required to do so by law, court order, regulator, payment processor, telecom provider, cloud provider, or other third party;
- continued service is no longer commercially or technically viable.
Upon termination, your right to use the Services will cease. Sections that by their nature should survive will survive, including provisions relating to Customer Content, data use, payments, intellectual property, disclaimers, limitation of liability, indemnity, disputes, and governing law.
24. Force Majeure
Chariot will not be liable for any delay, failure, interruption, unavailability, data loss, or performance issue caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, internet or telecommunications failures, cloud-provider outages, power failures, cyberattacks, labor disputes, government action, regulatory action, payment-provider failures, telecom-provider failures, third-party service failures, or other events beyond our reasonable control.
25. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
Chariot disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, uninterrupted operation, error-free operation, and that outputs will be accurate, complete, safe, lawful, or suitable for your intended use.
Chariot does not warrant that the Services will be free of viruses, harmful components, operational hazards, unauthorized access, security incidents, data loss, or privacy risks. Security and privacy risks cannot be completely eliminated.
You acknowledge that AI and speech systems are probabilistic and may generate incorrect, misleading, offensive, unexpected, or harmful outputs. You are responsible for reviewing, validating, and using outputs appropriately.
26. Limitation of Liability
To the maximum extent permitted by law, Chariot will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of revenue, goodwill, data, business opportunity, anticipated savings, or business interruption, whether based on contract, tort, negligence, strict liability, statute, or any other theory, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Chariot’s total aggregate liability for all claims relating to the Services or these Terms will not exceed the greater of: (a) the amount paid by you to Chariot for the Services in the three months immediately before the event giving rise to the claim; or (b) INR 10,000.
The limitations in this section apply to the maximum extent permitted by applicable law and regardless of the form or source of the claim.
27. Indemnity
You will defend, indemnify, and hold harmless Chariot, its affiliates, directors, officers, employees, contractors, investors, agents, licensors, and service providers from and against any claims, demands, proceedings, investigations, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your use of the Services;

- your outputs or communications;
- your violation of these Terms;
- your violation of law or third-party rights;
- your failure to obtain required rights, permissions, consents, notices, or legal bases;
- your voice, audio, call, telemarketing, recording, or communication activities;
- any allegation that your content or use infringes or violates intellectual property, privacy, publicity, personality, voice, data protection, consumer protection, telecom, or other rights.
